Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of the IdePay Marketplace platform, website, and mobile applications (collectively, the "Service") operated by IdePay Markets ("IdePay", "we", "us", or "our"). By creating an account, listing a product, making a prediction, or otherwise using the Service, you agree to be bound by these Terms.

1. Eligibility

You must be at least 18 years old and legally permitted to use prediction markets, marketplace services, and digital payment services in your jurisdiction. By using IdePay you represent that you meet these requirements and that all information you provide is accurate.

2. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify IdePay immediately of any unauthorized use. IdePay may suspend or terminate accounts that violate these Terms, applicable law, or platform policies.

3. Marketplace

IdePay Marketplace is a platform that connects independent buyers and sellers. IdePay does not sell, own, verify, ship, warehouse, or guarantee any product listed by third-party sellers. All transactions are entered into directly between buyer and seller.

• Sellers are solely responsible for the accuracy, legality, quality, safety, and delivery of their listings.
• Buyers are responsible for evaluating listings, communicating with sellers, and completing transactions at their own risk.
• IdePay is not a party to any sale and does not process, hold, or guarantee payments between buyers and sellers unless a specific IdePay payment feature is explicitly used.
• Prohibited items include, without limitation: illegal goods, weapons, controlled substances, counterfeit items, stolen property, hazardous materials, and any item restricted by applicable law.

4. Seller Disclaimer and Acceptance

Before publishing a listing, sellers must review and accept the Marketplace Seller Disclaimer. By accepting, the seller acknowledges that IdePay is a neutral platform and is not liable for disputes, fraud, damage, loss, or non-delivery arising from any transaction. IdePay records the acceptance timestamp and disclaimer version for audit purposes.

5. Predictions and Promotional Programs

Prediction markets, demo rewards, referral campaigns, promotional balances, and similar programs are subject to program-specific rules published on the Service. IdePay may modify, suspend, or terminate any program at any time. Promotional balances and demo rewards have no cash value unless explicitly stated and may be forfeited for abuse, fraud, multi-accounting, or violation of program rules.

6. Payments, Wallets, and Fees

Where wallet, deposit, withdrawal, MonCash, NatCash, or other payment features are available, all transactions are final once confirmed unless otherwise required by law. Applicable fees, minimums, and limits are published on the Service and may change from time to time. You are responsible for any taxes associated with your use of the Service.

7. Prohibited Conduct

You agree not to use the Service to: (a) violate any law or regulation; (b) engage in fraud, money laundering, or market manipulation; (c) infringe intellectual property or privacy rights; (d) upload malware or attempt to disrupt the Service; (e) create multiple accounts to abuse promotions; (f) harass, threaten, or defame other users; or (g) scrape, reverse-engineer, or resell the Service without written permission.

8. User Content

You retain ownership of content you submit (listings, images, comments, predictions). By submitting content you grant IdePay a worldwide, non-exclusive, royalty-free license to host, reproduce, display, and distribute that content as needed to operate and promote the Service. You represent that you have all necessary rights to the content you submit.

9. Moderation, Reports, and Suspension

IdePay may remove content, restrict features, suspend, or terminate accounts that violate these Terms, program rules, or applicable law, with or without prior notice. Users may report abuse, fraud, spam, or unsafe listings through the in-app moderation tools.

10. Intellectual Property

The Service, including its software, design, logos, and trademarks, is owned by IdePay or its licensors and is protected by intellectual property laws. Except for the limited rights expressly granted in these Terms, no rights are transferred to you.

11. Third-Party Services

The Service may integrate with or link to third-party services (payment providers, authentication providers, social platforms). IdePay is not responsible for the availability, content, or practices of third-party services, which are governed by their own terms and privacy policies.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION. IDEPAY DOES NOT WARRANT THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY LISTING, PREDICTION OUTCOME, OR USER-GENERATED CONTENT.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IDEPAY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, ANY MARKETPLACE TRANSACTION, ANY PREDICTION OUTCOME, OR ANY THIRD-PARTY CONDUCT. IDEPAY'S AGGREGATE LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO IDEPAY IN THE THREE MONTHS PRECEDING THE CLAIM, OR (B) USD 50.

14. Indemnification

You agree to defend, indemnify, and hold harmless IdePay from any claim, demand, loss, or expense (including reasonable attorneys' fees) arising out of your use of the Service, your content, your transactions with other users, or your violation of these Terms or applicable law.

15. Termination

You may stop using the Service at any time and may request account deletion at https://idepay.org/delete-account. IdePay may suspend or terminate your access at any time for any reason, including violation of these Terms. Provisions that by their nature should survive termination will survive, including sections 8, 10, 12, 13, 14, and 17.

16. Changes to the Service and to these Terms

IdePay may modify the Service or these Terms at any time. When we update these Terms, we will change the "Last updated" date above and, where appropriate, provide additional notice. Continued use of the Service after an update constitutes acceptance of the revised Terms.

17. Governing Law and Disputes

These Terms are governed by the laws of the Republic of Haiti, without regard to conflict-of-laws principles. You agree to attempt to resolve any dispute informally by contacting IdePay first. If a dispute cannot be resolved informally, it shall be brought exclusively in the competent courts located in Port-au-Prince, Haiti, except where prohibited by applicable law.

18. Privacy

Your use of the Service is also governed by the IdePay Privacy Policy, which explains how we collect, use, and protect personal information.
